Controller M&A

to manage all M&A activities from the financial point of view. This position reports to the Group Controller with a strong collaboration with our business units. The M&A Controller prepares external due diligence requests, gets offers and negotiates with providers. She/he leads the internal integration project for Finance and manages and supports the close process and post close for acquired companies.

Key responsibilities include:

  •     Execution of due diligence
  •     Execution of company valuations
  •     Prepare/review/negotiate SPAs from a finance perspective
  •     Lead internal integration project for Finance, including IT, tax
  •     Lead, if required, acquired company’s finance department up to 18 months after closing
  •     Prepare financial models and analysis, documentation and presentations
  •     Development and evaluation of transaction structures
  •     Liaise with acquired company personnel, global M&A team and country specific controllers
  •     Review documentation supporting goodwill adjustments
  •     Review and control of acquisition costs
  •     Manage the close process for post-acquisition
  •     Perform balance migrations from the acquired company ledger to client’s ledger
  •     Prepare/review balance sheet reconciliations and resolve reconciling items
  •     Cooperate and support the preparation of M&A strategy and the implementation of it
  •     Preparation of required ad-hoc analysis
  •     Job-hopper worldwide

Skills & Qualifications:

  •     Exceptional analytical, problem solving and decision making skills
  •     Strong organizational skills in relation to manage multiple projects with tight deadliness
  •     Strong strategic orientation and profound understanding of the business
  •     Attention to detail and ability to work in a multinational, high pressure high intensity environment
  •     BA degree in Accounting, Finance or Business is a must, and a certified accounting/controlling degree is a plus
  •     3+ years’ experience in a similar position or as controller of a business unit in an international organization
  •     3+ years of Project Management experience
  •     Solid IFRS knowledge
  •     SAP and BW power user experience is a plus
  •     Fluent German and English skills are essential
  •     Ability to adapt to other cultures
