The role
An opportunity has arisen for a Structured Trade Finance Counsel EMEA in Rolle, Switzerland. Representing the region in all legal matters and playing an active role in driving the regional growth plans of the Company by advising on legal questions and creating a legal framework for current and future transactions, the main purpose of this role is to provide advice and support in all structured trade finance transactions and to protect ADM from risks associated with entry into STF transactions.
Reporting to the Transactions Counsel EMEA, with a dotted line to the Director Global Head STF,the main duties of this role will include:
  • Responsible for the provision of legal advice for all global structured trade finance matters
  • Analyzing legal and regulatory risks for all new STF structures
  • Working closely with STF business team, tax and controllers to advise Governance Committee on new structures
  • Advising on and negotiating transaction documents, including trade credit agreements, deposit and pledge agreements, letters of credit and legal opinions
  • Advice and support to the business in relation to the management of all STF transaction documentation, amendment and renewal of contractual arrangements
  • Management of corporate governance issues and corporate regulatory compliance
  • Development and maintaining good working relationships with key stakeholders within the European business e.g. STF team and Tax/Treasury
  • Instructing and coordinating with local counsel in multiple jurisdictions
The candidate
The successful candidate will possess the following:
  • Law Degree or Equivalent non-law degree plus post graduate legal qualification
  • Admission to the Bar of a European country, preferably England & Wales UK or Switzerland
  • Minimum 8-10 years transactions experience including banking and related commercial and security contracts, corporate tax driven projects and other large transactions in a law firm or in house legal department of a multinational company
  • Experience of coordinating work across different geographies, cultures and legal systems
  • Problem solving and well developed Project Management skills
  • Ability to deal with a large volume of complex issues at the same time and work to deadlines under pressure
  • Well-developed leadership skills including inter-personal and communication skills, integrity and the ability to work pro-actively in a cross functional team
  • Broad general business knowledge is necessary
